Please read these Terms carefully. They include an arbitration agreement and class-action waiver (Section 16) that affect how disputes are resolved, and important limitations on our liability (Sections 12 to 14). BabySOS is a technology platform that connects families with independent caregivers. It is not a childcare provider, employer, or staffing agency.

1. Acceptance of these Terms

These Terms of Service ("Terms") are a binding agreement between you and BabySOS, Inc. ("BabySOS," "we," "us," or "our"). They govern your access to and use of the BabySOS mobile application, website at babysosapp.com, and related services (together, the "Platform").

By creating an account, downloading the app, or otherwise using the Platform, you agree to these Terms and to our Privacy Policy and Refund Policy, which are incorporated by reference. If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Platform. By using BabySOS, you represent that you meet these requirements, that all information you provide is accurate, and that you are not barred from using the Platform under the laws of any applicable jurisdiction. The Platform is intended for users in the United States.

3. The role of the Platform

BabySOS provides an online marketplace and communication tools that help parents and guardians ("Parents") discover, connect with, and book independent childcare providers ("Caregivers"). BabySOS is not a party to the arrangements made between Parents and Caregivers.

  • We do not employ Caregivers, control their work, or supervise the care they provide.
  • We are not a childcare agency, babysitting service, staffing firm, or referral service as defined under applicable law.
  • Caregivers are independent third parties who are solely responsible for the services they offer and perform.
  • Any contract for childcare services is solely between the Parent and the Caregiver.

4. Your account

To use most features you must create an account and may choose to act as a Parent, a Caregiver, or both. You agree to provide accurate, current information and to keep it updated. You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly at support@babysos.app of any unauthorized use. You may not share, sell, or transfer your account.

5. Additional terms for Caregivers

If you offer services as a Caregiver, you additionally agree that:

  • You are an independent contractor, not an employee, agent, partner, or joint venturer of BabySOS. Nothing in these Terms creates an employment relationship.
  • You are solely responsible for determining your rates, availability, the services you provide, and your compliance with all applicable laws, licensing requirements, and tax obligations (including reporting and paying your own taxes).
  • You will provide accurate profile information, including your experience, qualifications, and any certifications, and will not misrepresent your identity or background.
  • You will complete identity verification and a background check as required before accepting bookings (see Section 9).
  • You will provide care competently, safely, and in good faith, and will comply with each Parent's reasonable instructions.

6. Additional terms for Parents

If you use the Platform as a Parent, you acknowledge that you are solely responsible for selecting, screening, interviewing, and supervising any Caregiver you engage. You should exercise the same judgment and diligence you would when entrusting your children to any care provider, including checking references, verifying qualifications, and meeting the Caregiver before care begins. Information on a Caregiver's profile is provided by the Caregiver and is not independently guaranteed by BabySOS.

7. Bookings, SOS requests & cancellations

The Platform lets Parents request care in advance ("Bookings") or broadcast an urgent request to nearby Caregivers ("SOS"). When a Caregiver accepts, a care arrangement is formed directly between the Parent and Caregiver.

  • SOS requests are not guaranteed. An SOS broadcasts your request to available Caregivers but does not guarantee that any Caregiver will respond or accept, or any response time. BabySOS is not a substitute for emergency services. In a life-threatening emergency, call 911.
  • Bookings may be cancelled in accordance with the in-app cancellation rules and our Refund Policy. Cancellation fees may apply.
  • Caregivers may decline or cancel a request; Parents are responsible for arranging alternative care.

8. Payments, fees & taxes

Payments for care are processed through our third-party payment processor, Stripe, Inc. By making or receiving payments, you agree to Stripe's applicable terms. You authorize BabySOS and Stripe to charge your selected payment method for the amounts you approve, including care fees, applicable service or platform fees, background-check fees, and taxes.

  • Care rates are set by Caregivers and shown before you confirm a Booking.
  • BabySOS may charge a service fee, which is disclosed before you complete a transaction.
  • Funds are released to Caregivers after the relevant care is completed and any applicable timesheet is confirmed.
  • You are responsible for any taxes associated with your use of the Platform. Caregivers are responsible for reporting and remitting their own income taxes.

Refunds are governed by our Refund Policy.

9. Identity verification & background checks

Caregivers are required to complete identity verification and a background screening, which may be conducted by a third-party consumer reporting agency such as Checkr, Inc., before they can be booked. The background-check fee is disclosed in the app and is generally paid by the Caregiver.

Important limitations. Background checks and identity verification have inherent limitations. They may not surface all relevant information, are only current as of the date performed, and do not constitute a guarantee, endorsement, or warranty by BabySOS as to any Caregiver's suitability, character, fitness, or safety. You remain responsible for your own evaluation of any Caregiver. Screening services are provided by third parties in accordance with the Fair Credit Reporting Act and applicable law.

10. Acceptable use & prohibited conduct

You agree not to, and not to allow anyone to:

  • Use the Platform for any unlawful, fraudulent, harmful, or discriminatory purpose;
  • Provide false, misleading, or impersonating information, or misrepresent your identity, age, or qualifications;
  • Harass, threaten, abuse, defame, or endanger any person, including children;
  • Circumvent the Platform to avoid fees, including arranging or paying for booked services off-platform after connecting through BabySOS;
  • Solicit personal contact or payment information to move transactions off-platform in a way that defeats safety or payment protections;
  • Upload viruses or malicious code, scrape, reverse-engineer, or attempt to gain unauthorized access to the Platform;
  • Post content that is obscene, infringing, or violates another's rights or privacy;
  • Use the Platform to provide care to children you are not authorized to care for.

We may investigate and take action, including suspending or terminating accounts, for any actual or suspected violation.

11. Your content & license

You retain ownership of the content you submit (profiles, photos, messages, reviews, together "User Content"). You grant BabySOS a worldwide, non-exclusive, royalty-free license to host, store, use, display, and distribute your User Content as needed to operate, promote, and improve the Platform. You represent that you have the rights to your User Content and that it does not violate these Terms or any law. We may remove User Content that violates these Terms or that we consider harmful.

12. Safety, supervision & assumption of risk

You understand that interactions with other users, and the engagement of childcare services, carry inherent risks. BabySOS does not supervise, direct, or control the care provided, and is not responsible or liable for the acts or omissions of any Parent or Caregiver. You are solely responsible for your interactions with other users and for the care of your children. To the fullest extent permitted by law, you assume all risks arising from your use of the Platform and any care arrangement, and you agree that BabySOS is not liable for any resulting injury, loss, or damage.

13. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BABYSOS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CAREGIVER OR PARENT IS SUITABLE, SAFE, OR TRUSTWORTHY. We make no warranty regarding the conduct, qualifications, or background of any user. Some jurisdictions do not allow certain disclaimers, so some may not apply to you.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BABYSOS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR PERSONAL INJURY, ARISING OUT OF OR RELATING TO THE PLATFORM OR ANY CARE ARRANGEMENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER THEORY.

TO THE FULLEST EXTENT PERMITTED BY LAW, BABYSOS'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE TOTAL SERVICE FEES YOU PAID TO BABYSOS IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow these limitations, so they may not fully apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless BabySOS and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms or any law; (d) any care arrangement you enter into; or (e) your interactions with any other user.

16. Dispute resolution & arbitration

Please read this section carefully. It affects your legal rights.

You and BabySOS agree to first try to resolve any dispute informally by contacting support@babysos.app. If we cannot resolve it within 30 days, you and BabySOS agree that any dispute arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration administered by a recognized arbitration provider under its applicable rules, rather than in court, except that either party may bring an individual claim in small-claims court.

Class-action waiver. You and BabySOS agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@babysos.app with the subject "Arbitration Opt-Out."

17. App store terms

If you download the app from the Apple App Store, the following applies: these Terms are between you and BabySOS only, not Apple, and Apple is not responsible for the app or its content. Apple has no obligation to provide maintenance or support for the app. Apple is not responsible for addressing any claims relating to the app, including product-liability, legal/regulatory, or consumer-protection claims. In the event of any third-party claim that the app infringes intellectual-property rights, BabySOS, not Apple, is responsible. You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. restricted-parties list. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. Similar terms apply to the Google Play Store and Google as the distributor.

18. Suspension & termination

You may stop using the Platform and close your account at any time. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms, created risk or possible legal exposure, or for any other reason permitted by law. Sections that by their nature should survive termination (including Sections 11 to 16) will survive.

19. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Platform or by other reasonable means and update the "Last updated" date above. Your continued use after changes take effect constitutes acceptance of the revised Terms.

20. Governing law & contact

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, except where preempted by federal law (including the Federal Arbitration Act). If any provision is found unenforceable, the remaining provisions remain in effect.
